These Terms of Service ("Terms") govern your access to and use of Mindme (the "Service"), operated by Xhuman, Inc., a Delaware corporation ("Xhuman," "we," "us," or "our"). The entity or individual accessing the Service is referred to as "User," "you," or "your."
By accessing or using Mindme, you agree to be bound by these Terms, our Privacy Policy (available at https://mindme.ai/legal/privacy), and any applicable Order Form executed between you and Xhuman. Together, these documents constitute the entire agreement between you and Xhuman (the "Agreement"). If you do not agree to these Terms, do not use the Service.
We may update these Terms from time to time. Changes take effect on the "Last Updated" date shown above. Your continued use of the Service after any update constitutes acceptance of the revised Terms. If you disagree with any changes, you must stop using the Service.
1. Eligibility
You must be at least 16 years old to use Mindme. However, if the law in your jurisdiction requires you to be older for us to lawfully provide the Service without parental consent (including the processing of your personal data or biometric data), then the minimum age is such older age. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Description of Service
Mindme is an AI-powered platform that allows you to create a digital twin of yourself ("Mindme Twin" or "Twin"), train it with your information, use it to take actions on your behalf, and connect with other users. The Service includes the following capabilities:
2.1 Your Mindme Twin
Mindme builds a digital twin of you, trained on information you provide, which may include text, voice recordings, email content (if you choose to connect your email), and other materials you submit. Your Twin can take actions on your behalf, including sending emails, sending calendar invites, and other actions made available through the Service from time to time. You retain control over your Twin and may edit, retrain, or delete it at any time.
The actions and capabilities of your Twin may evolve as we develop the Service. New capabilities will be subject to these Terms and any additional notices or controls we provide.
2.2 Voice and Biometric Data
If you choose to provide voice recordings to train your Twin, Mindme will process those recordings and may derive voiceprints or other biometric identifiers from them in order to generate and operate your Twin. Your voice and biometric data will be used solely to create, operate, and improve your own Twin, and not to train any general AI model or any other user's Twin.
We will retain your biometric data for the duration of your account, and after termination for the shorter of (i) the period necessary for the purpose of collection, or (ii) three (3) years following your last interaction with the Service, after which the data will be permanently deleted, except as otherwise required by law.
By providing voice recordings, you consent to our collection, storage, and processing of biometric data as described in these Terms and our Privacy Policy. You may withdraw consent at any time by deleting the relevant recordings or your account, in which case we will delete the associated biometric data in accordance with the retention schedule above.
2.3 Email and Calendar Access
With your explicit authorization, Mindme may:
- Read and analyze your emails to train and personalize your Twin and to draft responses on your behalf
- Send emails on your behalf via your Twin
- Read your calendar and create or send calendar invites on your behalf
- Organize, label, or archive items in your inbox or calendar
You may revoke Mindme's access to your email or calendar at any time through your account settings or by disconnecting the integration. Revocation will take effect promptly, though previously processed data may be retained in accordance with our Privacy Policy.
2.4 Public Handle and Profile Visibility
Each Mindme account is assigned a public handle. You control your profile's visibility settings, including whether your profile and Twin are publicly accessible to other users or kept private. You may change these settings at any time. If your profile is set to public, other users may discover and interact with your Twin in accordance with the controls and limits you configure.
2.5 Interactions With Other Users' Twins
Mindme allows you to interact with other users' Twins, subject to those users' privacy and visibility settings. When you interact with another user's Twin, the inputs you submit may be processed by that Twin and visible to its owner. You acknowledge that Twins are AI systems, that their outputs are AI-generated, and that they are not the human user they represent. You should not rely on Twin outputs as statements of fact, professional advice, or commitments by the human user.
2.6 User Connections
Mindme facilitates connections between users. All connections require mutual opt-in consent — both users must affirmatively agree before a connection is established. No private profile information is shared with another user for connection purposes without your explicit approval.
3. Artificial Intelligence Disclaimer
3.1 Nature of the Service
Mindme uses artificial intelligence and machine learning technologies, including to operate your Twin and the Twins of other users. You acknowledge that you are interacting with AI systems, and that AI systems are probabilistic in nature and may produce errors, inaccuracies, or unexpected results.
3.2 Your Responsibilities
You are responsible for:
- Independently reviewing your Twin's outputs and actions, including drafted emails, calendar invites, and other content
- Exercising your own judgment before relying on or sending any AI-generated content
- Configuring approval controls for actions your Twin takes on your behalf
- Any decisions, actions, or omissions you make based on AI-generated output, whether from your Twin or another user's Twin
3.3 Limitations
AI-generated outputs may contain errors, reflect biases present in training data, misinterpret context or tone, produce content that is incomplete or inaccurate, or generate output that does not reflect your actual views or intentions. Xhuman does not guarantee the accuracy, completeness, or appropriateness of any AI-generated content.
3.4 No Warranties on AI Output
Xhuman makes no warranties or guarantees regarding the functionality or quality of AI-generated output. Xhuman is not liable for any losses resulting from your use of or reliance on AI output. You should independently evaluate all AI-generated content before use.
4. User Data and Privacy
4.1 Your Data
You may provide prompts, training inputs, voice recordings, email and calendar access, and other data to facilitate the Service (collectively, "User Data"). You retain ownership of your User Data and any outputs generated from it. You are responsible for ensuring you have all necessary rights, authorizations, and consents to provide User Data to us.
4.2 Third-Party Data Within Your Email and Calendar
When Mindme accesses your email or calendar, it will process information involving individuals who are not Mindme users. Mindme may process the content and metadata of these communications as necessary to provide the Service to you, including drafting replies, providing context, and organizing your inbox. Mindme does not build profiles or Twins of non-users and does not share non-user data with other Mindme users.
4.3 Twin and Profile Data Control
You may edit, correct, retrain, delete, or export your Twin and profile data at any time through your account settings. Upon account deletion, Xhuman will delete your Twin, profile, and associated personal and biometric data in accordance with our Privacy Policy and applicable law. Data that has already been received or viewed by other users (e.g., emails sent by your Twin, or content shared during an active connection) may be retained by those users in accordance with their own records.
4.4 License to User Data
You grant Xhuman a non-exclusive, worldwide, royalty-free license to use, copy, process, store, and display your User Data solely as necessary to provide, operate, and improve the Service for you, and to monitor compliance with these Terms. We do not use your User Data, voice, or biometric data to train general AI models or to train any other user's Twin. You also grant Xhuman a perpetual, irrevocable license to use your User Data in an aggregated and anonymized form to improve the Service. If we process personal data contained in your User Data, such processing is subject to our Privacy Policy.
4.5 Accuracy Disclaimer
Xhuman does not warrant the accuracy, completeness, or reliability of any User Data, Twin outputs, or profiles. You bear all risks associated with the data you provide and the Twin generated from it.
5. Account and Access
5.1 Account Registration
To use the Service, you must create an account and provide accurate, current, and complete information. You must promptly update any changes to your information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You must notify us immediately if you detect unauthorized access or any security breach.
5.2 Access Rights
Subject to these Terms, Xhuman grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service. We reserve the right to modify, suspend, or terminate any part of the Service at any time.
5.3 Usage Restrictions
The Service may impose usage limits on certain features, such as the number of emails sent, Twin interactions, connections initiated, or API calls. You agree to comply with these limits and must not attempt to bypass them.
6. Subscriptions and Payment
6.1 Plans
Mindme offers a free tier with limited functionality and paid subscription plans with additional features. Details of available plans and pricing are provided on our website and may be updated from time to time.
6.2 Billing
If you subscribe to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). You authorize Xhuman to charge your designated payment method for all fees due.
6.3 Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date. Xhuman does not provide refunds for partial billing periods unless required by applicable law.
6.4 Changes to Pricing
We may change subscription pricing at any time. Any price changes will take effect at the start of your next billing period following notice to you. If you do not agree to the new pricing, you may cancel before the next billing period.
7. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Gain unauthorized access to the Service, other user accounts, Twins, or related systems or networks
- Use your Twin or the Service to send spam, phishing communications, or unsolicited bulk communications
- Impersonate another person or misrepresent your affiliation with any person or entity, or train a Twin to impersonate someone other than yourself without their authorization
- Use automated tools, bots, or scrapers to access or extract data from the Service or from other users' Twins without our written permission
- Upload or transmit viruses, malware, or any code designed to disrupt or damage the Service
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or any underlying AI models
- Use the Service or the outputs of any Twin to develop or train any third-party machine learning model
- Remove or alter any copyright, trademark, or proprietary notices within the Service
- Use the Service to harass, abuse, stalk, or threaten other users
- Use the Service to create misleading or fraudulent profiles, Twins, or connections
- Circumvent any usage limits, access restrictions, or security measures
- Use the Service in any manner that could damage, disable, or impair the Service or interfere with other users' use
- Use the Service in connection with any activity that is discriminatory, fraudulent, deceptive, offensive, violent, pornographic, or otherwise harmful
If you violate these Terms, we may suspend or terminate your access to the Service. If we block your access, you agree not to circumvent such blocking by any means.
8. Intellectual Property
8.1 Our Intellectual Property
Xhuman retains all rights, title, and interest in and to the Service, including all software, algorithms, models, designs, interfaces, trademarks, and related intellectual property. The Service is provided on a limited-access basis, and no ownership of Xhuman's intellectual property is transferred to you.
8.2 Your Content
You retain ownership of the content you provide to the Service, including your User Data and the trained state of your Twin to the extent comprised of your User Data, subject to the licenses granted in Section 4.4.
8.3 Third-Party Intellectual Property
The Service may incorporate third-party software or components, including open-source software, which may be subject to separate license terms. You agree to comply with any such third-party terms. Xhuman is not responsible for third-party intellectual property.
8.4 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant Xhuman an unrestricted, perpetual, irrevocable, royalty-free license to use and incorporate such feedback for any purpose, without obligation to you.
9. Term and Termination
9.1 Term
These Terms remain in effect for as long as you use the Service.
9.2 Termination by You
You may terminate your account at any time by using the account deletion feature in your settings or by contacting us at support@mindme.ai. Upon termination, your right to use the Service ceases immediately.
9.3 Termination by Xhuman
We may suspend or terminate your account at any time, with or without cause, and with or without prior notice. Reasons for termination include, but are not limited to, violation of these Terms, fraudulent or abusive conduct, or extended inactivity.
9.4 Effect of Termination
Upon termination, your access to the Service will be revoked, your Twin will cease to be available to you and to other users, and we will handle your data (including biometric data) in accordance with our Privacy Policy and Section 2.2. Sections of these Terms that by their nature should survive termination (including Sections 3, 4.4, 7, 8, 10, 11, 12, and 13) will remain in effect.
10. Disclaimers
10.1 "As Is" Service
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. XHUMAN DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
10.2 Twin Actions
While Mindme is designed to operate your Twin with care, Xhuman does not guarantee that actions taken by your Twin (sending emails, sending calendar invites, interacting with other users) will always execute correctly or be appropriate for their intended purpose. You are solely responsible for configuring your Twin and reviewing its outputs and actions. You accept full responsibility for all actions taken by the Service on your behalf, including any consequences arising from their content, timing, or recipients.
10.3 Connections, Profiles, and Twins
Xhuman does not verify the identity, credentials, or intentions of users on the platform, nor the accuracy of any profile or Twin. We do not guarantee the accuracy of user profiles, the fidelity of any Twin to the human it represents, or the quality of any connection facilitated through the Service. You interact with other users and their Twins at your own risk.
10.4 Third-Party Links
The Service may contain links to third-party websites or services. Xhuman does not endorse or assume responsibility for any third-party content, products, or services.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL XHUMAN, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, business, or anticipated savings
- Any loss or damage arising from unauthorized access to or alteration of your data, emails, calendar, or Twin
- The cost of procuring substitute services
TO THE FULLEST EXTENT PERMITTED BY LAW, XHUMAN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID TO XHUMAN IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (II) FIFTY U.S. DOLLARS ($50.00).
These limitations apply regardless of the theory of liability (whether contract, tort, negligence, strict liability, or otherwise), even if Xhuman has been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify, defend, and hold harmless Xhuman, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your User Data, Twin, or any content you provide through the Service
- Actions taken by your Twin, including emails or calendar invites sent on your behalf
- Your infringement of any third-party rights
- Any connection or interaction with another user or Twin facilitated through the Service
13. Dispute Resolution and Governing Law
13.1 Governing Law
These Terms and your use of the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.
13.2 Informal Resolution
Before filing any formal legal action, you agree to first attempt to resolve any dispute informally by contacting Xhuman at support@mindme.ai. The parties will attempt in good faith to resolve any dispute within thirty (30) days of receipt of written notice.
13.3 Arbitration
If a dispute cannot be resolved informally, you and Xhuman agree to resolve the dispute through binding arbitration administered in accordance with the rules of the American Arbitration Association. Arbitration will take place in the State of Delaware. Each party shall bear its own costs. You agree that any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action.
13.4 Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
13.5 U.S. Compliance
You represent and warrant that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist-supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
14. General Provisions
14.1 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
14.2 Waiver
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any breach shall constitute a waiver of any subsequent breach.
14.3 Entire Agreement
These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between you and Xhuman regarding the Service and supersede all prior agreements, understandings, and communications.
14.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without Xhuman's prior written consent. Xhuman may assign these Terms without restriction.
14.5 Notices
Notices to Xhuman should be sent to support@mindme.ai. We may provide notices to you via the email associated with your account or through the Service.
